Renepoly Technology
Product Use and Export Compliance Statement

This Declaration applies to all products, equipment, software, technology, and related services supplied by RENEPOLY (collectively, the Products), including microgrid system integration products. This webpage is incorporated by reference into the business contracts entered into between RENEPOLY and its customers and forms an integral part of such contracts. By signing a business contract, the customer shall be deemed to have accepted all terms of this Declaration.

Disclaimer Terms

1. Compliance with Applicable Laws and Regulations

Customers shall comply with all applicable laws and regulations, including export controls, trade restrictions, and economic sanctions imposed by relevant countries and competent authorities. Customers shall not export, re-export, transfer, or supply the Products to any restricted country, region, entity, or individual in violation of applicable laws.

Friendly Reminder:Customers shall undertake not to directly or indirectly provide, transfer, or otherwise make any products supplied by RENEPOLY available to any sanctioned party, restricted entity, or individual, and shall be solely responsible for conducting their own compliance screening.

2. Prohibited End Uses

Customers shall not directly or indirectly use, resell, transfer, or supply the Products for or to military operations, warfare, weapons development, terrorism, human rights violations, or any other unlawful or prohibited activities.

Friendly Reminder:The Products must not be used for nuclear explosive activities, unsafeguarded nuclear fuel cycle activities, the design, development, production, or use of chemical or biological weapons or missiles, or activities involving related facilities. The Products must not be used in connection with weapons of mass destruction, conventional weapons, military training, terrorist activities, torture, or other violations of fundamental human rights. Customers shall ensure that all end uses are fully lawful.

3. Resale and Transfer to Third Parties

Customers shall ensure that any resale, distribution, or transfer of the Products complies with applicable laws and the restrictions set forth in this Declaration. Customers shall not supply the Products to any third party if they know that the Products will be used for prohibited purposes, and shall inform downstream purchasers of the above restrictions.

Friendly Reminder:Customers shall communicate the restrictions set forth in this Declaration to downstream recipients in writing or through other traceable means, and shall ensure that downstream recipients accept these restrictions in a legally binding manner
(with reference to the EUC downstream flow-down requirements of the European Union) Customers shall maintain relevant records for inspection, for no less than the minimum retention period required by applicable laws.

4. Customer Responsibilities and Indemnification

Customers shall bear full responsibility for their own use, resale, distribution, and transfer of the Products. To the extent permitted by applicable law, if any third-party claims, losses, damages, or reasonable legal expenses arise from a Customer's breach of this Declaration, the Customer agrees to indemnify and hold RENEPOLY harmless against such claims, losses, damages, and expenses, except to the extent caused by RENEPOLY's own improper conduct.

Friendly Reminder:Indemnification obligations include, but are not limited to, attorneys' fees, litigation costs, settlement amounts, and expenses incurred in restoring reputation. This provision does not exclude any defense rights to which Customers are entitled under applicable law.

5. Right to Refuse Transactions or Terminate Contracts

Where there are reasonable grounds to suspect a violation of the above restrictions, RENEPOLY reserves the right to refuse a transaction, suspend delivery, or terminate the relevant agreement, subject to compliance with applicable laws and contractual obligations.

Friendly Reminder:The exercise of the above rights shall not constitute a breach of contract by RENEPOLY. RENEPOLY shall not be liable for any indirect losses or liabilities arising therefrom, but shall provide reasonable notice to the Customer.

6. Recordkeeping Obligations

Customers shall retain transaction records, end-user and end-use information, downstream flow-down records, and signed documents related to this Declaration in accordance with applicable export control laws and regulations. Records shall be retained for at least the minimum period required by applicable law (for example, the U.S. Export Administration Regulations (EAR) require records to be retained for at least five years from the date of export; where different requirements apply under European Union or relevant Member State laws, those requirements shall prevail).

Friendly Reminder:Customers shall ensure that records are available for inspection upon request by regulatory authorities and shall reasonably cooperate with RENEPOLY in conducting compliance reviews.

7. Notification Obligations for Changes

Upon becoming aware, or when they should reasonably have become aware, of any of the following circumstances, Customers shall notify RENEPOLY in writing within a reasonable period (recommended to be no more than 30 days):
• Any material change in the end use of the Products
• Any change in the end user or final destination
• The Customer becomes aware of any potential violation of any provision of this Declaration by itself or any downstream recipient
• The Customer receives any inquiry or notice of investigation from a regulatory authority concerning transactions involving the Products.

Friendly Reminder:Prompt notification of any change in the end use or end user of the Products helps both parties jointly manage compliance risks.

8. Technical Confidentiality and Re-export Restrictions

If the Products contain technology, software, or technical data, Customers shall:
• Maintain strict confidentiality of technical information, refrain from disclosing such information to third-party companies, and prevent third parties from obtaining access to the related technical know-how
• Not re-export the Products, technology, or related copies to any third country without RENEPOLY's prior written consent or authorization under applicable law
• If Customers incorporate the Products into their own products for subsequent resale, they shall ensure that downstream recipients accept restrictions that are substantively equivalent to those set forth in this Declaration.

Friendly Reminder:Re-export restrictions also apply to transfers from the Customer's country to a third country, including the electronic transmission of technical data.
